ACKNOWLEDGEMENT OF RECEIPT CODE OF CONDUCT FOR DIRECTORS & SENIOR MANAGEMENT
I have received and read the Code of Conduct for Directors & Senior Management (“the Code”) of Muthoot Finance Limited (“the Company”). I understand the standards and policies contained in the Code and understand that there may be additional policies or laws specific to my job/ function in the Company. I agree to comply with the Code.
THE CODE OF CONDUCT
Board Members and Senior Managers will: Act in the best interests of, and fulfill their fiduciary obligations to the Company; Act honestly, fairly, ethically and with integrity; Conduct themselves in a professional, courteous and respectful manner and not take improper advantage of their position; Will deal fairly with all stakeholders; Comply with all applicable laws, rules and regulations; Act in good faith, responsibly, with due care, competence and diligence, without allowing their independent judgment to be subordinated; Not use the Company’s property or position for personal gain; Not
INTRODUCTION
The members of the Board of Directors of the Company and other Senior Management Officials acknowledge and accept the scope and extent of their duties as Directors and Senior Management Officials of the Company (“the Officers”). They have a responsibility to carry out their duties in an honest and businesslike manner and within the scope of their authority, as set forth in the laws of India as well as in the Memorandum and Articles of Association of the Company.
AMENDMENT
The Company reserves its right to amend or modify this Policy in whole or in part, at any time without assigning any reason whatsoever. However, no such amendment or modification will be binding on the Employees unless the same is notified to the Employees in writing.
RETENTION OF DOCUMENTS
All Protected Disclosures in writing or documented along with the results of investigation relating thereto shall be retained by the Company for a minimum period of seven years.
REPORTING
The Investigator shall submit a report to the Audit Committee on a regular basis about all Protected Disclosures referred to him/ her since the last report together with the results of investigations, if any.
DECISION
If an investigation leads the Audit Committee to conclude that an improper or unethical act has been committed, the Audit Committee shall direct the management of the Company to take such disciplinary or corrective action as the Audit Committee deems fit. It is clarified that any disciplinary or corrective action initiated against the Subject as a result of the findings of an investigation pursuant to this Policy shall adhere to the applicable personnel or staff conduct and disciplinary procedures.
INVESTIGATORS
Investigators are required to conduct a process towards fact-finding and analysis. Investigators shall derive their authority and access rights from the Audit Committee when acting within the course and scope of their investigation.
